UNLOCK · Sell-Side / Exit Advisory

Realize the value you've built, on your terms

Your company changes hands once in a career, and our founder-led sell-side and exit advisory is built for that moment. We shape the story and the numbers and bring the right buyers to the table. Then we defend the value all the way through the close, so you walk in as the most-prepared person in the room.

Principal-led by LeVon Terry, with two decades of private-equity and investment-banking judgment.

The Asymmetry

A founder sells once. The buyer across the table has done it many times.

You've spent years, maybe decades, building this company, and the sale is the moment all of that work gets a price. It's also the most information-asymmetric moment of your career. Most owners walk in under-prepared and leave value on the table, not because the business wasn't worth more, but because the other side had done this hundreds of times and they hadn't.

Unlock closes that gap. You negotiate from preparation rather than pressure, with an advisor who spent years on the buyer's side of the table.

Preparation is what separates the two, and the upside goes to founders who get the business ready before the process begins.

What Unlock Includes

Everything the exit demands, on your side of the table

Founder-led, and delivered through a collaborative deal team assembled for your engagement: an internal analyst working alongside external bankers, attorneys, and specialists as the transaction needs them.

Positioning and story development

Shaping the sell-side story so what a buyer hears matches the value the numbers underneath actually support.

Buyer sourcing

Identifying and reaching the right buyers by type and fit, and opening access to them, so the process starts with the parties most likely to value what you built.

Process management

Running an organized process alongside you, so the transaction keeps moving while you keep running the company.

Valuation and term evaluation

Building the case for the number and reading the terms behind it, so you can weigh an offer on its full shape and not just its headline.

Close support

A steady hand through diligence and to the close, so the value you negotiated is the value you actually realize.

Advisory and execution support for your own exit. Advisory only, not an RIA, broker-dealer, or business broker. No capital placement, and no percentage of the transaction taken.

The Four Lenses, At The Exit

The same discipline, now at the highest stakes

Many founders first work with these four lenses in Grow or Compound. At the exit, they shape the outcome, and each one carries more weight than ever.

Strategy

Why, whether, and when to sell.

Structure

Deal form and terms.

Story

The sell-side narrative.

Source

The right buyers, and access to them.

How It Comes Together

A defensible exit, built well before the sale

Diligence arrives fast and asks for everything at once. When the preparation is done in advance, those urgent requests don't pull your attention away from running the company, right when a buyer is watching the numbers most closely.

1

Prepare the story and the numbers

We put the narrative, the model, and the data room into the shape a serious buyer expects, so the numbers validate the story.

2

Get diligence-ready

We work through the questions a buyer will ask before anyone asks them, so gaps surface on your schedule rather than theirs and diligence never turns into a fire drill.

3

Defend the value

We build the case for your valuation and stand behind it, so every part of the ask holds up under scrutiny.

4

Stay with you through the close and beyond

We manage the process alongside you through the close, and the relationship doesn't end there. We stay on as a partner for what comes next, so you're never carrying it alone.

Exit Readiness

Diligence questions are easier to answer before a buyer asks them

Every gap a buyer could find is findable today. Addressing those issues early means the valuation you ask for holds up line by line.

Frequently Asked Questions

Who is Unlock for?

Founders approaching a sale who want to walk in as the most-prepared person in the room. Many come to Unlock from an ongoing Grow or Compound relationship, where we already know the numbers cold, but a founder can also engage Unlock directly when a sale is on the horizon.

What does Unlock cover?

Sell-side and exit support for a founder approaching a transaction: positioning and story development, buyer sourcing, process management, valuation and term evaluation, and close support. It is founder-led and delivered through a collaborative deal team assembled for your engagement, with an internal analyst working alongside external bankers, attorneys, and specialists as needed.

Is Capfluent a business broker or a broker-dealer?

No. Capfluent is advisory only, not an RIA, a broker-dealer, or a business broker. Unlock is advisory and execution support for your own exit: we prepare you, source and reach the right buyers, defend the value, and help you manage the process. We do not broker the transaction and we take no percentage of it.

How are Unlock fees structured?

On flat engagement fees, never a percentage of the transaction value, so the incentive stays aligned with the decision rather than the deal size. The fee is scoped on a strategy call.

How is this different from the Capital Fluency Lab?

Unlock is an exit engagement for a founder approaching a sale. The Capital Fluency Lab is a separate Denver cohort where founders learn their capital options in a room of peers. They serve very different moments, and neither one requires the other.

Not investment, legal, or tax advice.

Plan the exit before you need to

If a sale is on the horizon, a strategy call is the first step toward a defensible sale, ideally well before the process begins.
